1. Agreement to Terms
These Terms and Conditions ("Terms") govern your use of MeldMedia's services, applications, and website (collectively, "Services") operated by MeldMedia ("we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our Services.
2. Description of Services
MeldMedia provides the following services:
- Shopify App Development: Custom application development for Shopify stores
- Graphic Design & Branding: Visual design and brand identity services
- Store Setup & Integration: Shopify store configuration and third-party integrations
- WhatsApp Notify Pro: Automated WhatsApp notification app for Shopify
- Ongoing Support: Maintenance and support services
3. User Accounts and Responsibilities
3.1 Account Creation
To use certain Services, you may be required to create an account. You must provide accurate, current, and complete information during registration.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your contact information remains current
3.3 Acceptable Use
You agree not to:
- Use our Services for any illegal or unauthorized purpose
- Violate any laws in your jurisdiction
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our Services
- Use our Services to spam or harass others
4. WhatsApp Notify Pro - Specific Terms
Important: WhatsApp Notify Pro uses an unofficial WhatsApp API. Users assume full responsibility for compliance with WhatsApp's policies.
4.1 User Obligations
By using WhatsApp Notify Pro, you agree to:
- Comply with WhatsApp's Terms of Service and Business Policy
- Obtain proper consent from customers before sending messages
- Respect local privacy laws and regulations (GDPR, CCPA, etc.)
- Use the service only for legitimate business communications
- Provide clear opt-out mechanisms for customers
- Monitor and manage message frequency to avoid spam
4.2 Service Limitations
- Message delivery is not guaranteed due to WhatsApp's policies
- Service may be interrupted if WhatsApp changes their API
- Rate limits may apply to prevent abuse
- Some features may require additional setup or configuration
5. Payment Terms
5.1 Pricing
Service prices are as quoted in our proposals or displayed on our website. All prices are in USD unless otherwise specified.
5.2 Payment Schedule
- Custom Development: 50% upfront, 50% upon completion
- Design Services: 50% upfront, 50% upon final approval
- App Subscriptions: Monthly or annual billing as selected
- Support Services: Billed monthly in advance
5.3 Late Payments
Late payments may result in service suspension and a 1.5% monthly late fee. We reserve the right to terminate services for non-payment.
6. Refund and Cancellation Policy
6.1 Custom Development Services
- Refunds available within 7 days if no work has commenced
- Partial refunds may be considered based on work completed
- No refunds once final deliverables are provided and approved
6.2 App Subscriptions
- 30-day money-back guarantee for new subscriptions
- Cancellation effective at the end of current billing period
- No refunds for partial months or unused features
6.3 Design Services
- Refunds available within 7 days if initial concepts are rejected
- No refunds after client approval of design concepts
- Revision limits apply as specified in service agreement
7. Intellectual Property Rights
7.1 Client Ownership
Upon full payment, clients own the custom code, designs, and deliverables created specifically for their project.
7.2 MeldMedia Ownership
We retain ownership of:
- Our proprietary tools, frameworks, and methodologies
- General knowledge and experience gained from projects
- Our apps and software platforms
- Our brand, trademarks, and marketing materials
7.3 Third-Party Components
Some deliverables may include third-party components subject to their own licenses. We will identify these components and their licensing terms.
8. Limitation of Liability
IMPORTANT: Please read this section carefully as it limits our liability.
8.1 Service Availability
We strive for high availability but do not guarantee uninterrupted service. We are not liable for service interruptions, downtime, or data loss.
8.2 Damages Limitation
Our total liability for any claim shall not exceed the amount paid by you for the specific service in the 12 months preceding the claim.
8.3 Excluded Damages
We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data loss or corruption
- Third-party actions or policies (including WhatsApp)
- Force majeure events beyond our control
9. Developer Responsibilities
9.1 Our Commitments
We commit to:
- Deliver services according to agreed specifications and timelines
- Use industry best practices and standards
- Provide reasonable support during and after project completion
- Maintain confidentiality of your business information
- Test deliverables before deployment
9.2 Client Responsibilities
Clients must:
- Provide accurate requirements and feedback
- Respond to requests for information in a timely manner
- Provide necessary access to systems and accounts
- Test and approve deliverables within agreed timeframes
- Make payments according to agreed schedule
10. Termination
10.1 Termination by Client
You may terminate services with 30 days written notice. You remain responsible for payment of all services provided up to the termination date.
10.2 Termination by MeldMedia
We may terminate services immediately if you:
- Breach these Terms
- Fail to make required payments
- Use services for illegal purposes
- Violate third-party policies (e.g., WhatsApp, Shopify)
10.3 Effect of Termination
Upon termination, access to services will cease, but these Terms will remain in effect for completed work and ongoing obligations.
11. Governing Law and Disputes
11.1 Governing Law
These Terms are governed by the laws of the United States and the state where MeldMedia is incorporated, without regard to conflict of law principles.
11.2 Dispute Resolution
We prefer to resolve disputes amicably. If formal resolution is needed:
- First, contact us directly to discuss the issue
- If unresolved, disputes will be handled through binding arbitration
- Arbitration will be conducted under American Arbitration Association rules
- Each party bears their own legal costs unless otherwise awarded
12. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes by email or through our services. Continued use after changes constitutes acceptance of the new Terms.
For minor changes, we will update the "Last updated" date and post the revised Terms on our website.
